Terms of Service & User Agreement

Welcome to ProcureOS. These Terms of Service ('Terms') govern your access to and use of the ProcureOS platform, including our website, APIs, and autonomous procurement engine (collectively, the 'Services'). By using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or accessing the ProcureOS platform, you represent that you have the authority to bind yourself or the legal entity you represent to these Terms. If you do not agree to these Terms, you must not access or use our Services.

2. Service Description & AIP Protocol

ProcureOS provides an autonomous procurement infrastructure leveraging the AIP-103+ protocol to match buyers with suppliers. We act as a technology provider and do not become a party to any commercial contracts formed between users unless explicitly stated.

3. User Responsibilities & Account Security

You are responsible for maintaining the confidentiality of your login credentials. Any activity occurring under your account is your responsibility. You agree to provide accurate, current, and complete information during the registration process.

4. Intellectual Property Rights

All content, features, and functionality on the ProcureOS platform, including but not limited to the AIP-103 protocol logic, algorithms, and UI design, are the exclusive property of ProcureOS and are protected by international copyright and trademark laws.

5. Prohibited Activities

Users are prohibited from: (a) attempting to bypass platform security; (b) using automated systems to scrape data without authorization; (c) submitting fraudulent RFQs or offers; (d) infringing on the intellectual property of others.

6. Limitation of Liability

To the maximum extent permitted by law, ProcureOS shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Services, including but not limited to loss of profits or business interruptions.

7. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Turkey. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Istanbul.
